Free Arts Administration Workshop: The Things You Need to Know Before and After Forming a Legal Entity - From the Company Secretarial Perspective

This workshop aims to introduce participants to the various options for the formation of a legal entity (from sole proprietorship to limited companies), registration of societies and the statutory requirements to comply with.  Procedures on company setup in different legal formations will be introduced, and practical knowledge on how to apply for tax exemption and charity status will also be covered.

Topics include:

• The various forms of legal entity and their registration procedures:  A comparison of sole proprietorship, society and limited companies
• Annual compliance requirements of different legal entities
• Application of tax exemption of a charity (under section 88 of the Inland Revenue Ordinance)
• Other issues including the convening of an Annual General Meeting, amendment of M&A, and making changes in financial year end, company name, board directors and appointment of auditors.
