Seminar on New Companies Ordinance (Additional Session)

Starting from 3 March 2014, the new Companies Ordinance, Chapter 622 of the Laws of Hong Kong (“new CO”), will commence operation. The seminar is suitable for administrators who oversee corporate governance, board management, membership issues, company secretarial duties, etc.

 

There are some significant changes under the new CO, including:

 

* The Memorandum of Association is abolished

 

New arrangements for Submission of Annual Return

 

* New rules introduced under the new CO for proposing and passing a written resolution

 
In view of this, there will be significant changes such as the abolition of Memorandum, mandatory regime of no-par and restricting corporate directorship, all these will affect a company's daily operation and require your attention.


To provide more details regarding the changes under the new CO for practitioners in the field, with great pleasure, the Hong Kong Arts Administrators Association (HKAAA) has invited Mr Antony SIN Ming Hei, HKAAA’s Honorary Legal Advisor, to give a talk on this issue.

Mr Sin is a Barrister-at-law with specialization in Corporate and Commercial Law, a Certified Tax Adviser, the Honorary Legal Advisor of Stewards Pooi Kei College, an Adjudicator of The Obscene Articles Tribunal of the HKSAR, an Adjudicator of The Registration of Persons Tribunal of the HKSAR, a Member of The Appeal Board Panel (Town Planning) as well as a Member of The Appeal Panel (Estate Agents Ordinance).
